Shawir User Agreement: Terms, Creators, Influencers, billing, and data protection for our website and apps.

These Terms & Conditions apply to the Shawir website (shawir.com and any affiliated websites), the Shawir mobile application (iOS and Android), and any other tools, interfaces, or digital products operated by Smart Soft Solutions Commercial Brokerage under the Shawir brand — collectively referred to as 'the Platform.' By using the Platform, you agree to these Terms in full.

 

1. Introduction and Acceptance

Welcome to Shawir. These Terms and Conditions ('Terms') constitute a legally binding agreement between you ('User', 'you', or 'your') and Smart Soft Solutions Commercial Brokerage ('Shawir', 'we', 'us', or 'our'), a company registered in Abu Dhabi, United Arab Emirates.

By downloading, accessing, registering on, or using the Shawir Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms in full, including all policies referenced herein.

If you do not agree to these Terms, you must immediately stop using the Platform and delete the application from your device.

These Terms may be updated at any time without prior notice to users. Continued use of the Platform after any changes constitutes your acceptance of the updated Terms. We recommend reviewing this document periodically.

 

These Terms should be read together with our Privacy Policy, available at www.shawir.com/en/privacy, which is incorporated into these Terms by reference.

 

2. Definitions

For the purposes of these Terms:

Any person who registers on the Platform to interact with creators

Any person who registers on the Platform to offer services to users

Any interaction between a user and a creator — including chat, voice call, video call, or appointment

Points

The virtual currency used on the Platform to purchase sessions and services

Wallet

The in-app points balance held by a user

Content

Any text, image, video, audio, or other material posted or shared on the Platform

Services

The session types offered by creators — chat, VIP call, video session, or appointment

Smart Soft

Smart Soft Solutions Commercial Brokerage — the legal entity operating Shawir

KYC

Know Your Customer — the identity verification process applied to creators

 

 

3. Nature of the Platform

Shawir is a technology platform and tools provider only. Shawir connects users with creators by providing the infrastructure, payment processing, and communication tools necessary for them to interact directly.

 

IMPORTANT: Shawir is NOT a content publisher, employer, agency, professional services provider, or endorser of any creator or their content. Shawir does not produce, review, monitor, verify, or take responsibility for any content, advice, information, video, or communication shared on the Platform.

 

All interactions on the Platform are solely and exclusively between the user and the creator. Shawir's role is limited to providing the technical infrastructure that enables these interactions to take place.

Creators are independent individuals — they are not employees, agents, or representatives of Shawir. Shawir exercises no control over the content, advice, or information shared by creators during any session.

 

4. Eligibility and Registration

4.1 Age Requirement

You must be at least 15 years of age to register on or use the Platform. By registering, you confirm that you are 15 years of age or older. If we discover that a user is under 15, we reserve the right to immediately terminate their account.

 

4.2 User Registration

To access the full features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Keep your account credentials confidential and not share them with others
  • Be solely responsible for all activity that occurs under your account
  • Notify us immediately of any unauthorized use of your account

 

4.3 Creator Registration and Verification

To register as a creator on the Platform, you must complete Shawir's manual verification process, which includes:

  • Providing your social media profile link(s)
  • Undergoing a content review — Shawir verifies that your existing content is acceptable by Shawir's standards
  • Sending a specific verification message from your social media account to Shawir's official account — confirming you are the genuine account owner
  • Shawir team review and manual approval decision

 

Shawir reserves the right to approve or reject any creator application at its sole discretion, without obligation to provide a reason. Approval is not guaranteed for any applicant.

 

Shawir does NOT verify professional credentials, academic qualifications, licenses, or specializations of any creator. Creators are responsible for the accuracy of any information they share about themselves.

 

 

5. Platform Shield — Limitation of Liability

This section is critical and applies to all users and creators. Please read it carefully.

5.1 No Endorsement

Shawir does not endorse, recommend, verify, or guarantee any creator or the content, advice, or information they share. The presence of a creator on the Platform does not constitute any recommendation or endorsement by Shawir.

 

5.2 No Responsibility for Content

Shawir is not responsible for any content, advice, information, video, image, audio, or communication shared by creators or users on the Platform. All such content is the sole responsibility of the person who created and shared it.

This includes but is not limited to:

  • Text messages and chat content
  • Voice and video call content
  • Short videos and any other media posted by creators
  • Any advice, recommendations, or information shared during any session

 

5.3 No Professional Advice

Nothing shared on the Platform constitutes professional medical, legal, financial, psychological, religious, or any other form of professional advice. Users acknowledge that creators are independent individuals and not licensed professionals acting in any official capacity on the Platform.

Users are solely responsible for any decisions made based on content or interactions on the Platform. Shawir strongly recommends consulting qualified licensed professionals for any matter requiring expert guidance.

5.4 Liability Cap

To the maximum extent permitted by applicable law, Shawir's total liability to any user or creator — for any claim arising from or related to the use of the Platform — is strictly limited to the monetary value of the specific transaction that gave rise to the claim.

For example: if a dispute arises from a session for which the user paid points equivalent to a specific dollar value, Shawir's maximum liability is limited to that dollar value only. Shawir is not liable for any amount beyond the transaction value.

5.5 Exclusion of Consequential Damages

In no event shall Shawir be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of income, loss of data, emotional distress, reputational damage, or any other damages arising from the use or inability to use the Platform.

5.6 Catch-All Indemnification

You agree to indemnify, defend, and hold harmless Shawir, Smart Soft Solutions Commercial Brokerage, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses — including legal fees — arising from:

  • Your use of or access to the Platform
  • Your violation of these Terms
  • Any content you post, share, or transmit on the Platform
  • Your violation of any applicable laws or regulations
  • Any dispute between you and another user or creator
  • Any unforeseen or unanticipated claim, situation, or circumstance arising from your use of the Platform

 

By using the Platform, you accept full responsibility for your own actions and interactions. Shawir bears no responsibility whatsoever for any outcome, loss, or damage of any kind resulting from your use of the Platform.

 

 

6. User Obligations and Conduct

6.1 General Conduct

All users of the Platform agree to:

  • Use the Platform in accordance with these Terms and all applicable laws
  • Treat all creators and other users with respect
  • Not engage in any abusive, harassing, threatening, or offensive behavior
  • Not attempt to circumvent the Platform's payment system
  • Not share personal contact information with the intent to conduct transactions outside the Platform

6.2 User Disclaimer Acknowledgment

Before initiating any session on the Platform, users are presented with a disclaimer popup. By tapping the confirm button on this popup, the user actively acknowledges that:

  • They are solely responsible for any interaction they engage in on the Platform
  • Shawir is a technology platform only and is not responsible for any content, advice, or outcome
  • The creator is an independent individual and not a Shawir employee or representative

 

This acknowledgment is binding and constitutes the user's agreement to these Terms with respect to that specific interaction.

6.3 Minimum Age

Users confirm they are at least 15 years of age. Users under 15 are strictly prohibited from using the Platform.

 

 

 

7. Creator Obligations and Conduct

7.1 Independence

Creators are independent individuals operating on the Platform. They are not employees, contractors, agents, or representatives of Shawir. Creators are solely responsible for their own actions, content, and interactions on the Platform.

7.2 Creator Responsibilities

By registering as a creator, you agree to:

  • Provide accurate information about yourself and your services
  • Comply with all applicable laws in your country of residence and in the country of any user you interact with
  • Take full legal and moral responsibility for all content you post and all statements you make on the Platform
  • Not misrepresent your identity, credentials, or qualifications
  • Not claim to be a licensed professional (doctor, lawyer, financial advisor, etc.) unless you hold a verifiable license and can prove it upon request
  • Respond to users in a timely and professional manner
  • Honor all confirmed bookings and appointments

7.3 Content Standards

All content posted or shared by creators — including short videos, profile descriptions, and session content — must be:

  • Genuine and original — created by the creator themselves
  • Not copied, re-shared, or reproduced from other sources without rights
  • Not AI-generated filler or low-quality junk content
  • Compliant with Shawir's content standards as defined and updated by Shawir at its sole discretion

Copyright of original videos and content posted by a creator remains with that creator. By posting content on the Platform, the creator grants Shawir a non-exclusive, royalty-free license to display and distribute that content on the Platform for the purpose of operating the service.

7.4 Prohibited Content and Conduct

Shawir defines and updates its prohibited content and conduct standards at its sole discretion. Creators and users agree to comply with these standards as communicated by Shawir from time to time. Without limiting Shawir's discretion, the following are strictly prohibited:

  • Any adult, sexual, or explicit content of any kind
  • Any content promoting hatred, discrimination, violence, or extremism
  • Any content targeting, exploiting, or harmful to minors
  • Impersonation of any person, brand, or organization
  • Dating, matchmaking, or romantic solicitation services
  • Formal medical diagnosis, prescription, or treatment
  • Formal legal advice or legal representation
  • Formal financial or investment advice, trading signals, or cryptocurrency recommendations
  • Religious rulings (Fatwa) or formal religious legal opinions
  • Fortune telling or guaranteed predictions presented as fact
  • Political campaigning, incitement, or government criticism
  • Any content that violates applicable laws in any jurisdiction

Shawir reserves the right to remove any content and suspend or terminate any account that violates these standards — without notice and at Shawir's sole discretion.

 

8. Content, Videos, and Posting

The Platform may allow creators and users to post content including short videos, messages, images, and other media. The following terms apply to all content posted on the Platform:

 

  • All content posted on the Platform is the sole responsibility of the person who posted it
  • Shawir does not monitor, review, pre-screen, or approve any content posted on the Platform
  • Shawir reserves the right — but has no obligation — to remove any content that it determines, in its sole discretion, violates these Terms or its content standards
  • By posting content on the Platform, you confirm that you own or have the right to post that content and that it does not infringe any third-party rights
  • Short videos posted by creators must be genuine, original content created by the creator themselves
  • Posting content on the Platform is entirely at your own risk

 

Shawir is not responsible for any content, video, posting, or action taken by any user or creator on the Platform. Any loss, damage, or harm arising from content posted on the Platform is the sole responsibility of the person who posted it.

 

9. Points, Payments, and Refunds

9.1 Points System

The Platform uses a virtual points currency ('Points') for all transactions. Users purchase Points through the Platform and use them to pay for sessions with creators. Points have no cash value outside the Platform and cannot be transferred between user accounts.

 

9.2 Points Purchases

Points are purchased through the Platform via Apple Pay, Google Pay, or other available payment methods. All purchases are processed in accordance with Apple App Store and Google Play Store terms and policies. Points purchase prices are displayed in the Platform and may be updated at any time.

9.3 Creator Pricing

Creators set their own price for each service they offer, denominated in Points. Shawir may add a margin on top of the creator's set price — this margin is added to the amount paid by the user and does not affect the amount received by the creator. Creators receive exactly the Points they set for each service.

9.4 Creator Payouts

Creators receive their earned Points in their creator account. Points earned by creators are converted to monetary value and paid out via available payout methods. Payout terms, minimum thresholds, and available methods are communicated to creators through the Platform and may be updated at Shawir's discretion.

9.5 Refund Policy

Shawir operates a points-based refund system with the following terms:

 

  • Refunds, where applicable, are credited to the user's Shawir wallet as Points only — under no circumstances are refunds returned to the original payment method (credit card, Apple Pay, Google Pay, or any other method)
  • There are no cash refunds under any circumstances
  • All refund requests are subject to review and require approval from Shawir's administration or management team on a case-by-case basis
  • Shawir's decision on any refund request is final and at Shawir's sole discretion
  • The following situations may be considered for a refund — subject to admin review and approval:

ALL REFUNDS ARE SUBJECT TO SHAWIR MANAGEMENT APPROVAL. Submitting a refund request does not guarantee a refund. Shawir's decision is final.

 

10. Creator Activity Requirements

10.1 Grace Period

All approved creators receive a 60-day grace period from the date of account activation. During this period, the creator's account is active and visible at no charge.

10.2 Revenue Threshold

At the end of the 60-day grace period, Shawir evaluates the creator's earned revenue on the Platform. Creators who have met the minimum revenue threshold during the grace period continue with a free active account. Creators who have not met the minimum threshold may be subject to a monthly platform subscription fee.

The minimum revenue threshold and monthly subscription fee are determined by Shawir management and are subject to change. Specific amounts are communicated to creators through the Platform.

10.3 Profile Visibility

Creator profiles must be at least 80% complete to appear in the Platform's discovery and search results. Incomplete profiles remain in draft mode and are not visible to users.

Creators who do not log in for 30 consecutive days are automatically hidden from discovery results. Their account remains active but is not visible to users until the creator returns to the Platform.

10.4 Account Freeze

If a creator shows no activity on the Platform for 60 consecutive days — including no login, no sessions, and no responses — their account is automatically frozen. A frozen account is hidden from discovery and cannot receive bookings. The creator must reactivate their account to resume Platform activity.

10.5 Account Suspension

Accounts may be suspended in the following circumstances:

  • No Platform activity for 90 consecutive days
  • Non-payment of applicable monthly subscription fees for 30 days
  • Violation of these Terms or Shawir's content standards

Suspended accounts require re-verification before reactivation.

10.6 Monthly Subscription

The monthly platform subscription fee for inactive creators is subject to Shawir management decision and will be communicated to affected creators through the Platform when applicable. Shawir reserves the right to introduce, modify, or waive this fee at its sole discretion.

 

11. Intellectual Property

11.1 Shawir Intellectual Property

The Shawir brand, logo, name, application design, interface, source code, and all related materials are the exclusive intellectual property of Smart Soft Solutions Commercial Brokerage. All rights are reserved.

You may not copy, reproduce, distribute, modify, create derivative works of, or commercially exploit any part of the Platform without Shawir's prior written consent.

11.2 Creator Content

Original content created and posted by creators on the Platform — including videos, images, and written content — remains the intellectual property of the creator who created it.

By posting content on the Platform, the creator grants Shawir a non-exclusive, worldwide, royalty-free license to display, distribute, and use that content solely for the purpose of operating the Platform and promoting the Platform's services.

11.3 User Content

Any content submitted by users through the Platform — including messages, ratings, and reviews — may be used by Shawir for the purpose of operating and improving the Platform.

 

12. Account Termination

12.1 Termination by You

You may terminate your account at any time by using the 'Delete Account' option in the Platform settings or by contacting us at [email protected]. Upon deletion, your personal data will be processed in accordance with our Privacy Policy.

Any unused Points in your wallet at the time of account deletion are forfeited and will not be refunded.

12.2 Termination by Shawir

Shawir reserves the right to suspend, restrict, or terminate any account — of any user or creator — at any time and without prior notice, for any reason including but not limited to:

  • Violation of these Terms
  • Violation of Shawir's content standards
  • Fraudulent, abusive, or harmful behavior
  • Non-payment of applicable fees
  • Extended inactivity
  • Any other reason Shawir determines appropriate at its sole discretion

Shawir is not liable for any loss or damage arising from the termination of your account.

 

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is available at www.shawir.com/en/privacy and is incorporated into these Terms by reference.

By using the Platform, you confirm that you have read and understood our Privacy Policy and consent to the collection and use of your personal data as described therein.

 

14. International Use and Compliance

The Platform is available to users globally. By using the Platform, you agree to comply with all applicable laws and regulations in your country of residence or location.

Shawir makes no representation that the Platform is appropriate or available in all countries. Users who access the Platform from locations where its use is prohibited do so at their own risk.

The Platform complies with applicable international data protection regulations including GDPR (EU/UK), CCPA (California, USA), UAE PDPL, and Saudi PDPL. Your rights under applicable local law are not affected by these Terms.

Creators are solely responsible for ensuring that their services and content comply with the laws of their own country and the country of any user they interact with. Shawir bears no responsibility for any cross-border legal issues arising from creator-user interactions.

 

15. Updates to These Terms

Shawir reserves the right to update, modify, or replace these Terms at any time and without prior notice to users. Changes take effect immediately upon being posted on the Platform.

Continued use of the Platform after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform immediately.

The 'Last Updated' date at the top of this document indicates when the most recent changes were made.

 

 

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, specifically the emirate of Abu Dhabi.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, United Arab Emirates.

For users located in the European Union or United Kingdom, applicable mandatory consumer protection rights and legal remedies under local law are not affected by this governing law clause.

For users located in the Kingdom of Saudi Arabia, applicable mandatory rights under Saudi law are not affected by this governing law clause.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Shawir with respect to your use of the Platform.

17.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17.3 Waiver

Shawir's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.4 No Assignment

You may not assign or transfer your rights or obligations under these Terms to any third party without Shawir's prior written consent. Shawir may assign these Terms or any of its rights hereunder without restriction.

17.5 Force Majeure

Shawir shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, or other events outside Shawir's control.
